Vorsatz oder nicht in der IPO-Versicherung?
Drei ehemalige Sky-Manager, unter Ihnen Ex-Premiere-Chef Georg Kofler, werden von ihrem Unternehmen für Fehler im Zug eines Börsenganges 2005 und einer Kapitalerhöhung 2007 persönlich in Anspruch genommen. Sky fordert vor dem OLG München von den Managern und der Allianz Euro 15 Mio. Sky hatte zur Absicherung des Börsengangs eine sog. IPO-Versicherung abgeschlossen, die, anders als die D&O-Versicherung, Risiken aus der Prospekthaftung vollumfänglich abdecken kann.
Die Allianz wertet das Verhalten der ehemaligen Vorstände im Zusammenhang mit angeblich falschen Abonnentenzahlen im Börsenprospekt allerdings als vorsätzliche Pflichtverletzung und verweigert daher die Zahlung. Der Vorsitzende Richter hat jetzt laut Börsen-Zeitung einen Vergleich vorgeschlagen: 15 Prozent der Euro 15 Mio. sollen gezahlt werden.
Bis zum 25. November haben die Parteien Zeit, sich den Vergleichsvorschlag zu überlegen. Andernfalls müsste geklärt werden, ob überhaupt eine Kausalität von Zahlen im Prospekt und Schaden für Aktionäre hergestellt werden kann.
